2. Eligibility
You must be at least 18 years old and a qualified legal practitioner or law firm employee in Nigeria to use the Platform. By registering, you represent that you meet these requirements and that all information you provide is accurate and complete.
3. Account Registration
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at [email protected] of any unauthorised use of your account. We are not liable for losses arising from your failure to safeguard your credentials.
4. Subscription Plans and Billing
The Platform is offered on a subscription basis. By subscribing, you authorise us to charge your payment method on a recurring basis (monthly or annually) at the rates displayed at the time of subscription.
- All prices are in Nigerian Naira (₦) and are inclusive of applicable taxes unless stated otherwise.
- Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
- You may cancel your subscription at any time from the Billing page; access continues until the end of the paid period.
- We reserve the right to change pricing with 30 days' notice via email.
- Payments are processed by Paystack in accordance with their terms at paystack.com/terms.
5. Refund Policy
We offer a 14-day money-back guarantee for first-time subscribers on any paid plan. To request a refund, email [email protected] within 14 days of your first payment. Refunds are not available for renewals, upgrades, or accounts found to have violated these Terms.
6. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of Nigerian law.
- Upload or transmit malware, viruses, or any harmful code.
- Attempt to gain unauthorised access to other accounts or our infrastructure.
- Reverse-engineer, decompile, or copy any part of the Platform.
- Use the Platform to store or process data belonging to clients without their consent.
- Resell, sublicense, or white-label the Platform without our written permission.
- Use automated bots or scrapers to extract data from the Platform.
Violation of this section may result in immediate account suspension without refund.
7. Client Data Ownership
You retain full ownership of all Client Data you enter into the Platform. We do not claim any intellectual property rights over your Client Data. You grant us a limited, non-exclusive licence to store and process your Client Data solely to provide the Platform services. You are responsible for ensuring you have the legal right to upload and process your clients' personal data in accordance with the NDPR.
8. AI Features and Legal Advice Disclaimer
All AI-generated content, case summaries, legal research, and document drafts must be reviewed and verified by a qualified legal practitioner before use. We are not liable for any errors, omissions, or inaccuracies in AI-generated content. The use of AI features does not create a solicitor-client relationship between you, your clients, and The Law Secretary.
9. Intellectual Property
The Platform, including its design, code, trademarks, and content (excluding Client Data), is the exclusive property of The Law Secretary and is protected by Nigerian and international intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the Platform without our prior written consent.
10. Service Availability and Modifications
We aim for 99.5% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We reserve the right to modify, suspend, or discontinue any feature with 30 days' notice, except in cases of security emergencies. We are not liable for any loss arising from service interruptions beyond our reasonable control.
11. Limitation of Liability
To the maximum extent permitted by Nigerian law, The Law Secretary shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability to you for any claim shall not exceed the total subscription fees you paid in the 3 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless The Law Secretary, its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.
13. Termination
Either party may terminate the agreement at any time. We may suspend or terminate your account immediately for material breach of these Terms, non-payment, or conduct harmful to other users or the Platform. Upon termination, you may export your Client Data within 30 days; after that period, data will be deleted in accordance with our Privacy Policy.
14. Dispute Resolution
Any dispute arising from these Terms shall first be referred to mediation. If mediation fails within 30 days, the dispute shall be submitted to arbitration under the Arbitration and Conciliation Act (Cap A18) LFN 2004. The seat of arbitration shall be Lagos, Nigeria. The governing law is the law of the Federal Republic of Nigeria.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email and an in-app banner at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
